1. Contracting Entity
These Terms govern your access to and use of ZenoWell’s Site, App, Devices, and Services.

In these Terms, “ZenoWell,” “we,” “us,” and “our” refer to the entity above.
2. Definitions
This section clarifies the scope of the agreement.
“Account” means the account you create to access certain Services.
“App” means ZenoWell’s mobile application(s), including updates and related services.
“Device” means ZenoWell hardware products and accessories, including components and consumables sold or supplied by ZenoWell.
“Documentation” means manuals, instructions, safety warnings, labels, and in‑app prompts for the Device/App.
“Health Data” means User Data relating to health or wellness, including self‑reported information, notes, symptoms, lifestyle inputs, and imported third‑party health data if enabled by you.
“Policies” means our Privacy Policy, Shipping Policy, and Return Policy, incorporated by reference.
“Services” means the Site, App, Software, Device connectivity/control features, content we provide (including educational materials), and customer support.
“Site” means zenowell.ai and pages we operate that link to these Terms.
“Software” means the App, Device firmware, embedded software, algorithms, and updates.
“User Data” means data you submit, upload, input, sync, transmit, or otherwise provide through the Services, including Health Data.
3. Acceptance and Changes to Terms
3.1 Acceptance
By accessing or using the Services and/or purchasing, installing, or using a Device, you agree to these Terms and the Policies.
3.2 Changes
We may update these Terms by posting a revised version on the Site and/or in the App. The “Last updated” date indicates when changes take effect unless otherwise stated. Continued use after the effective date constitutes acceptance of the updated Terms.
4. Eligibility, Accounts and Security
4.1 Eligibility
You must be at least the age of majority in your jurisdiction to create an Account and use the Services, unless permitted by law with appropriate consent.
4.2 Account Responsibilities
You agree to provide accurate information, keep it updated, and maintain the confidentiality of your credentials. You are responsible for activity under your Account except where prohibited by law.
4.3 Unauthorized Use
Notify us promptly if you suspect unauthorized access or misuse.
5. Software and Ownership
5.1 License Grant
Subject to these Terms, ZenoWell grants you a limited, non‑exclusive, non‑transferable, revocable license to download, install, and use the App and Software for your personal, non‑commercial use in connection with the Device and Services. All rights not expressly granted to you in these Terms or any policies or guidelines are reserved and retained by us or our licensors, suppliers, publishers, rightsholders, or other content providers. The licenses granted by us terminate if you do not comply with these Terms or any applicable policies, rules, or guidelines.
5.2 Ownership
The Services and Software (excluding your User Data) are owned by ZenoWell or its licensors and are protected by intellectual property laws. All rights not expressly granted are reserved.
You acknowledge and agree that all materials displayed, performed, or available on or through the Services, including, but not limited to, text, graphics, data, articles, photos, images, and illustrations (collectively “Contents”) may be protected by copyright and/or other intellectual property laws throughout the world. You undertake to comply with all copyright notices, trademark rules, information, and restrictions contained in the Content, and not to copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, or otherwise use for any purpose any Content not owned by you without the prior consent of the owner of that Content.
5.3 App Store Terms
If you obtain the App from Apple App Store, Google Play, or another store, you also agree to that store’s terms. These Terms govern your relationship with ZenoWell to the extent permitted by law.
6. Acceptable Use and Restrictions
Except where prohibited by applicable law, you may not:
copy, modify, translate, or create derivative works of the Software or Services;
reverse engineer, decompile, disassemble, decode, or attempt to derive source code or underlying ideas/algorithms;
bypass or interfere with security features or access controls;
use bots, scrapers, or automated means that degrade or overload the Services;
use the Services for unlawful, harmful, deceptive, abusive, or infringing conduct.
You agree to use the Services for your own use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with these Terms, the Policies, and all laws and regulations applicable to you. If your use of the Services is prohibited by any applicable laws, then you are not authorized to use the Services. We are not responsible for any use of the Services that is in violation by you of any applicable laws.
We may investigate suspected violations and may suspend or terminate access as described in Section 17.
7. Device Use, Safety and Connectivity
7.1 Proper Use
You must use the Device only as described in the Documentation and in‑app prompts. Do not use the Device in a manner inconsistent with warnings or contraindications.
7.2 Adverse Reactions
Stop using the Device and seek appropriate professional advice if you experience pain, skin irritation, burns, dizziness, fainting, or other adverse reactions.
7.3 No Unsafe Use
Do not use the Device where its use could create risk (for example, while driving or operating machinery).
7.4 Connectivity Limits
Some features require Bluetooth, internet access, and compatible phones/OS versions. Connectivity may be interrupted by environmental factors, device settings, OS updates, network outages, or third‑party disruptions. We do not guarantee uninterrupted connectivity or real‑time syncing.
8. Updates, Feature Changes and Availability
8.1 Updates
We may provide App/Software/firmware updates for security, bug fixes, performance improvements, and compliance. Some updates may be required for certain features.
8.2 Changes or Discontinuation
We may add, modify, suspend, or discontinue features or parts of the Services. Where reasonable, we may provide notice, but notice is not guaranteed for urgent changes (e.g., security).
8.3 Downtime
The Services may be unavailable due to maintenance, outages, or events beyond our reasonable control.
8.4 Beta / Experimental Features (If Offered)
If we label a feature as beta/preview/experimental, it may be unstable, change, or be removed at any time and is provided “as is” to the maximum extent permitted by law.
9. User Data and Health Data
9.1 Your Rights and Responsibilities
You retain rights you may have in your User Data. You represent and warrant that:
you have the right to provide the User Data you submit;
you have obtained any required consents (including if you upload data about another person);
your User Data does not violate law or third‑party rights; and
your User Data is accurate to the best of your knowledge.
9.2 Permission to Process User Data
To provide and operate the Services, you grant ZenoWell a limited, non‑exclusive right to host, store, process, transmit, and display your User Data, and to use it for:
providing features you request (including syncing, insights, and support);
maintaining security and integrity;
improving and developing the Services (e.g., performance, reliability, bug detection),
in each case in accordance with our Privacy Policy and applicable law.
We do not claim ownership of your User Data.
9.3 Informational Outputs and Not Clinical Use
Any summaries, insights, trends, or recommendations are for informational and wellness purposes only, may be incomplete or inaccurate, and are not intended for medical diagnosis, treatment decisions, or emergency use.
9.4 Third‑Party Integrations (If Enabled)
If you connect third‑party services (e.g., health platforms or other wearables), those services’ terms and privacy practices apply. ZenoWell is not responsible for third‑party services, outages, or inaccuracies.
9.5 Data Retention and Deletion
Retention, deletion, and account deletion options are described in the Privacy Policy. Uninstalling the App may not delete server‑stored data associated with your Account.
10. Privacy
Your use of the Services is subject to our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy controls.
11. Health and Medical Disclaimer (Important)
11.1 Wellness Only, Not Medical Advice
The Device and Services are intended for consumer wellness and informational purposes only and do not provide medical advice. They are not intended to diagnose, treat, cure, or prevent any disease and do not replace professional medical advice.
11.2 Consult a Professional
Consult a qualified healthcare professional for any medical condition, symptoms, medications, implanted devices, or treatment decisions.
11.3 Emergency Situations
Do not use the Services as a substitute for emergency care. If you believe you may have a medical emergency, contact emergency services immediately.
11.4 Results May Vary
Individual results vary. We do not guarantee specific outcomes.
12. Disclaimers
To the maximum extent permitted by law, the Services and Devices are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement, except where prohibited.
We do not warrant that the Services will be uninterrupted, error‑free, or that outputs will be accurate or complete.
13. Limitation of Liability
To the maximum extent permitted by law, ZenoWell will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data, arising out of or related to the Services or Devices. ZenoWell shall only be liable for (i) damages caused willfully or as a result of gross negligent breach of duty by us, our legal representatives and our employees, (ii) fraudulent non-disclosure or misrepresentation by us, or breach of explicit guarantees provided by us; and (iii) damages arising from death or personal injuries(life, body and health) due to gross negligent breach of duty by us, and shall not be liable for slight negligent breach of any obligations.
Legal carve‑out: Nothing in these Terms limits or excludes liability where doing so would be unlawful, including (where applicable) liability for fraud, willful misconduct, or liabilities that cannot be excluded under consumer protection laws.
App Stores: You acknowledge and agree that the availability of the App and the Services is dependent on the third party from whom you received the App license, e.g., the Apple App Store or Google Play Store (each, an “App Store”). We, not the App Store, are solely responsible for the Services, including the App, the content thereof, maintenance, support services, and warranty therefor, and addressing any claims relating thereto.
14. Indemnification
To the maximum extent permitted by law, you agree to indemnify and hold harmless ZenoWell from claims arising out of:
your misuse of the Services/Device;
your violation of these Terms; or
your violation of law or third‑party rights through User Data.
In indemnifying us under this Section, you shall bear our costs of necessary legal defence.
15. Purchases from ZenoWell
This section applies when you purchase from ZenoWell via the Site.
15.1 Orders, Acceptance and Cancellation
Placing an order is an offer to purchase. We may accept, reject, cancel, or limit orders due to suspected fraud, unauthorized reseller activity, inventory limitations, shipping restrictions, or pricing/description errors.
15.2 Pricing and Errors
If a product is listed at an incorrect price due to an error, we may cancel the order and refund amounts paid.
15.3 Promotions and Discount Codes
Promotions may be time‑limited, non‑transferable, and subject to eligibility rules. Unless stated otherwise, promotions may not be combined. We may refuse redemption if we reasonably believe a promotion is being abused, to the extent permitted by law.
15.4 Payments and Chargebacks
You authorize us (or our payment processor) to charge your payment method. If a charge is reversed or charged back, we may suspend fulfillment and/or access to related Services as permitted by law.
15.5 Pre‑Orders (If Offered)
Estimated ship dates are estimates only. Pre‑order cancellation/refund rules are described in the Return Policy or a pre‑order policy shown at checkout.
15.6 Taxes, Duties and Import Fees
By confirming your purchase, you acknowledge your responsibility to pay the total cost of your order, including taxes, duties, customs fees, brokerage fees, and other import charges. Unless stated at checkout as included, you are responsible for these charges.
Returns and refunds are governed by our Return Policy. Nothing in these Terms limits statutory rights and remedies that cannot be excluded under applicable consumer law.
15.9 Warranty and Statutory Rights
Any voluntary commercial warranty is described in warranty materials and/or the Return Policy. Consumers may also have statutory rights relating to defective goods that cannot be excluded.
16. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate your access if we reasonably believe you violated these Terms, your use creates security or legal risk, or suspension/termination is required by law.
Upon termination, your license to use the App/Software ends. Sections that by their nature should survive will survive.
17. Export Controls and Sanctions
You may not use, export, re‑export, or transfer the Services or Devices in violation of applicable export control or sanctions laws.
18. Governing Law; Dispute Resolution
18.1 Governing Law
These Terms are governed by the laws of Hongkong, unless mandatory consumer protection laws in your country of residence provide otherwise.
18.2 Informal Resolution First
Before initiating formal proceedings, contact us so we can attempt to resolve the dispute informally.
19. Miscellaneous
Severability: If any provision is unenforceable, the remaining provisions remain in effect.
Entire Agreement: These Terms and the Policies constitute the entire agreement regarding the Services and purchases from ZenoWell.
Assignment: You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or asset sale.
No Waiver: Failure to enforce a provision is not a waiver.
